Please read these terms carefully. These Affiliate Program Terms of Service (the "Agreement") govern your participation in The Diesel Dudes Affiliate Program (the "Program"). By applying to, enrolling in, or participating in the Program, you agree to be bound by this Agreement. If you do not agree, do not apply to or participate in the Program.

01 Introduction & acceptance

This Agreement is entered into between Kaizen Blueprint LLC, a Delaware limited liability company doing business as The Diesel Dudes ("The Diesel Dudes," "we," "us," or "our"), and you, the individual or entity applying to participate in the Program ("Affiliate," "you," or "your").

The Program allows approved Affiliates to earn commissions by referring customers to our website, thedieseldudes.com (the "Site"), through unique tracking links and promotional codes we provide. This Agreement incorporates by reference our Terms of Service, Privacy Policy, and Refund Policy, each as amended from time to time. In the event of a conflict between this Agreement and those policies with respect to the Program, this Agreement controls.

02 Definitions

  • "Affiliate Link" means a unique tracking URL or discount code we assign to you for the purpose of referring customers to the Site.
  • "Qualifying Sale" means a completed purchase of eligible products on the Site by a Referred Customer that is paid in full, is not returned, refunded, cancelled, or charged back, and is validly tracked to your Affiliate Link within the Cookie Window.
  • "Referred Customer" means a customer who clicks your Affiliate Link or applies your assigned discount code before completing a purchase.
  • "Cookie Window" means the attribution period described in Section 6.
  • "Net Sale Amount" means the product purchase price actually paid by the customer, excluding taxes, shipping and handling, duties, discounts, gift cards, and payment-processing fees.

03 Enrollment & eligibility

To be eligible for the Program, you must:

  • Be at least the age of majority in your state, province, or country of residence and have the legal capacity to enter into this Agreement;
  • Submit a complete and accurate application through our Program sign-up page;
  • Maintain a website, social media channel, or other promotional platform that complies with this Agreement and all applicable laws; and
  • Provide valid payment and tax information as we may reasonably require.

Submitting an application does not guarantee acceptance. We reserve the right to approve or reject any application, and to accept or remove any Affiliate, in our sole discretion and for any reason.

04 Approval & your account

If your application is approved, we will provide you with access to your Affiliate account, your Affiliate Link(s), and any approved promotional materials. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide current, complete, and accurate account, payment, and tax information, and to keep that information up to date so we can process your commissions and contact you as needed.

05 License to promote

Subject to your continued compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license during the term to use the Affiliate Links and the promotional materials we approve solely for the purpose of marketing and directing traffic to the Site. This license does not grant you any ownership interest in our intellectual property, and all rights not expressly granted are reserved. We may revoke this license at any time.

06 Tracking, links & cookies

Referrals are tracked through our third-party affiliate tracking platform. When a customer clicks your Affiliate Link, a tracking cookie is placed on their device with a 30-day Cookie Window. If that customer completes a Qualifying Sale within 30 days of the click, the sale will generally be attributed to you.

Attribution is determined on a last-click basis: where a customer clicks more than one affiliate's link, the most recent qualifying click before purchase generally receives credit. We do not guarantee that every referral will be tracked, and we are not responsible for tracking failures caused by a customer's browser settings, ad blockers, cookie deletion, use of multiple devices, or other factors outside our reasonable control. Our records and the tracking platform's records are the final and authoritative basis for determining commissions.

07 Commissions

For each Qualifying Sale, you will earn a commission of up to 2.5% of the Net Sale Amount. Your specific commission rate, along with any product-specific rates or exclusions, will be set out in your Affiliate account and may be adjusted as described in Section 18.

Commissions are not earned on, and the following are excluded from the Net Sale Amount:

  • Taxes, shipping and handling, duties, and payment-processing fees;
  • Orders that are cancelled, returned, refunded, or charged back;
  • Orders placed with unauthorized, expired, or third-party coupon codes;
  • Purchases you make through your own Affiliate Link (self-referrals) or orders we reasonably determine to be fraudulent, duplicative, or made in bad faith;
  • Gift card purchases.

Commissions are considered pending until the applicable return period has passed and the order is confirmed as a Qualifying Sale, at which point they become approved and payable.

08 Payment terms

Approved commissions are paid via PayPal on Net-30 terms — that is, within approximately thirty (30) days following the end of the calendar month in which the commissions were approved. You are responsible for providing a valid PayPal account; we are not liable for payments sent to an incorrect account you provided.

A minimum payout threshold of $50 applies. If your approved commission balance is below the threshold at the end of a payment period, the balance will roll over and accumulate until the threshold is met.

You are solely responsible for all taxes owed on commissions you receive. You agree to provide a completed IRS Form W-9 (or Form W-8 for non-U.S. persons) upon request, and you understand that we may issue an IRS Form 1099 or other tax documentation where required by law. All commissions are stated and paid in U.S. dollars.

09 Returns, cancellations & chargebacks

If a Referred Customer returns a product, cancels an order, or initiates a chargeback after a commission has been credited or paid, the corresponding commission will be reversed. We reserve the right to deduct (or "claw back") such reversed commissions from your current or future commission balances, or to invoice you for amounts already paid if no future balance is available.

10 Affiliate obligations

You agree that you will:

  • Promote The Diesel Dudes honestly, accurately, and in a manner that reflects positively on our brand;
  • Comply with all applicable laws, regulations, and industry guidelines, including the FTC Endorsement Guides, the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), and all applicable advertising, data-privacy, and consumer-protection laws;
  • Use only the Affiliate Links, discount codes, and promotional materials we provide or approve;
  • Ensure that any content you publish about our products is truthful and not misleading; and
  • Be solely responsible for the development, operation, and content of your own websites and channels.

11 FTC disclosure & advertising standards

You must clearly and conspicuously disclose your material connection to The Diesel Dudes wherever you promote us, in accordance with the U.S. Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255). A disclosure such as "This post contains affiliate links, and I may earn a commission on qualifying purchases" must appear near the relevant link or endorsement and be easily noticed and understood by your audience.

You may not make false, deceptive, or unsubstantiated claims about our products, pricing, performance, or availability, and you may not publish fabricated reviews or testimonials.

12 Product compliance (off-road use)

Many of our products are emissions-related and are intended for off-road and competition use only. When promoting these products, you must not represent that they are legal for on-road or highway use, and you must not encourage any use that violates federal, state, or local emissions laws or regulations, including the Clean Air Act.

You agree to present our products consistent with the following disclaimer: "All products sold by The Diesel Dudes are intended for off-road and competition use only. The purchaser assumes full responsibility for compliance with all applicable federal, state, and local emissions laws and regulations." We may provide approved messaging and assets, and you agree to use them where applicable.

13 Prohibited activities

You must not:

  • Engage in cookie stuffing, forced clicks, pop-unders, iframe stuffing, or any deceptive method of generating clicks or referrals;
  • Bid on or purchase paid-search ads using our trademarks, brand names, common misspellings, or "The Diesel Dudes" as a keyword, or use our marks in ad display URLs or paid-search copy;
  • Register or use domain names, subdomains, social handles, usernames, or app names that are identical or confusingly similar to our trademarks;
  • Send spam or any unsolicited email, SMS, or messaging in violation of the CAN-SPAM Act, TCPA, or other applicable laws;
  • Distribute discount codes on coupon, deal, or cashback sites unless expressly authorized by us, or use codes not assigned to you;
  • Make purchases through your own Affiliate Link for your own benefit (self-referrals);
  • Publish or promote our products on any site or channel containing unlawful, hateful, defamatory, sexually explicit, or otherwise objectionable content, or content that infringes third-party rights;
  • Misrepresent your relationship with us, or make any representation, warranty, or commitment on our behalf; or
  • Interfere with or circumvent the tracking, security, or operation of the Program, the Site, or the tracking platform.

Any violation of this Section may result in forfeiture of commissions and immediate termination from the Program, in addition to any other remedies available to us.

14 Trademarks & intellectual property

"The Diesel Dudes," our logos, and all related names, designs, and marks are the property of Kaizen Blueprint LLC. You may use our trademarks and promotional materials only as expressly authorized under the limited license in Section 5 and only in the form we provide. You may not alter, modify, or create derivative works of our marks or materials, and all goodwill arising from your use inures solely to our benefit. Upon termination, or upon our request at any time, you must immediately cease all use of our trademarks, Affiliate Links, and promotional materials.

15 Independent contractors

You and The Diesel Dudes are independent contractors. Nothing in this Agreement creates any partnership, joint venture, agency, franchise, employment, or fiduciary relationship between the parties. You have no authority to make or accept any offers or representations on our behalf, and you will not make any statement suggesting otherwise.

16 Confidentiality

You may receive non-public information in connection with the Program, including commission rates, reporting data, promotional strategies, and product information not yet public. You agree to keep such information confidential, to use it solely for the purpose of participating in the Program, and not to disclose it to any third party without our prior written consent.

17 Term & termination

This Agreement begins when you are approved for the Program and continues until terminated. Either party may terminate this Agreement, for any reason or no reason, at any time upon notice (including by email). We may suspend or terminate your participation immediately, without notice, if we reasonably believe you have violated this Agreement or engaged in fraudulent, abusive, or unlawful conduct.

Upon termination, your license to use our Affiliate Links, trademarks, and materials ends immediately, and you must remove them from your channels. Approved commissions for valid Qualifying Sales earned before termination will be paid in the normal course, except that we may withhold and you will forfeit any commissions associated with a breach of this Agreement or with fraudulent or invalid activity. Sections that by their nature should survive termination (including Sections 9, 13–16, and 19–22) will survive.

18 Modifications to the program

We reserve the right, at our sole discretion, to modify, suspend, or discontinue the Program (in whole or in part) and to change commission rates, the Cookie Window, payment terms, eligible products, promotional materials, or any provision of this Agreement at any time. We will post the updated Agreement to this page and update the "Last updated" date. Your continued participation in the Program after changes take effect constitutes your acceptance of the revised Agreement. If you do not agree to a change, your sole remedy is to terminate your participation.

19 Disclaimers & limitation of liability

The Program and all related materials are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Program, the Site, or the tracking platform will be uninterrupted, timely, secure, or error-free, and we do not guarantee any level of traffic, sales, or earnings.

To the maximum extent permitted by law, in no event shall Kaizen Blueprint LLC dba The Diesel Dudes, or our directors, officers, employees, affiliates, agents, contractors, suppliers, or service providers, be liable for any indirect, incidental, punitive, special, or consequential damages of any kind — including lost profits, lost revenue, or lost data — arising out of or relating to the Program or this Agreement, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to the Program will not exceed the total commissions paid to you in the six (6) months preceding the event giving rise to the claim. Because some jurisdictions do not allow certain limitations, some of the above may not apply to you.

20 Indemnification

You agree to indemnify, defend, and hold harmless Kaizen Blueprint LLC dba The Diesel Dudes and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, and employees from and against any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your participation in the Program; (b) your websites, channels, content, or promotional methods; (c) your breach of this Agreement; or (d) your violation of any law or the rights of any third party.

21 Governing law

This Agreement is governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you consent to personal jurisdiction and venue in those courts.

22 General provisions

Entire agreement. This Agreement, together with the policies it incorporates, constitutes the entire agreement between you and us regarding the Program and supersedes all prior agreements and understandings.

Severability. If any provision is found unlawful, void, or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.

Assignment. You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement freely. This Agreement binds and benefits the parties and their permitted successors and assigns.

Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Force majeure. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control.

Notices. We may provide notices to you by email or through your Affiliate account. Notices to us must be sent to the contact information below.
